THE TERMS AND CONDITIONS (“AGREEMENT”) ARE AN ELECTRONIC RECORD IN TERMS OF INFORMATION TECHNOLOGY ACT, 2000 AND RULES THEREUNDER (AS APPLICABLE AND AMENDED) AND OTHER PROVISIONS PERTAINING TO ELECTRONIC RECORDS IN VARIOUS STATUTES. THIS ELECTRONIC RECORD IS GENERATED BY A COMPUTER SYSTEM AND DOES NOT REQUIRE ANY PHYSICAL OR DIGITAL SIGNATURES.

1. Introduction

1.1. This is a legal and binding agreement between you, the user (referred to as “User” or “you”) of the Platform, as defined below, and SAMMMM HBW PRIVATE LIMITED through the brand “Sammmm” (referred to as “we”, “us”, “Company” or “Sammmm”) stating the terms that govern your use of the website www.sammmm.com and mobile apps (if any) (collectively referred to as the “Platform”) and the information, services and products contained therein and provided and operated by Sammmm (“Products”).

1.2. This Agreement describes the terms on which the Company grants users of the Platform access to the Platform, and should be read with the privacy policy available here www.sammmm.com  (“Privacy Policy”).

1.3. Sammmm is licensed to use and operate the Platform and supply Products directly to customers who transact using the Platform and provides the Users access to one or more of our services and offerings (collectively, “Services”):
· Face Scanning;
· Generation of Skin Analysis and Progress Reports;
· Product Suggestions;
· Product Purchase

1.4. You may create and hold one user account (“Account”) only. You will be responsible for maintaining confidentiality of the Account, password, and restricting access to your computer, and you hereby accept responsibility and liability for all activities that occur under your Account. Each Account is non-transferrable and may not be sold, traded, combined, or otherwise shared with any other person.

1.5. Sammmm reserves the right to revise or amend the terms and conditions of this Agreement at any time by posting any changes or the revised Agreement on any Platform and with immediate effect. Each User agrees to visit the Platform regularly for changes made to this Agreement and agrees that the same shall be binding on the User(s). 

1.6. Sammmm makes no representations that the Platform operates (or is legally permitted to operate) in all geographic areas, or that the Platform and/or Products are appropriate or available for use in other locations. If the User chooses to access the Platform, the User hereby agrees and acknowledges that the User does so on their own initiative and at their own risk and that the User is solely responsible for compliance with all applicable laws.

 

2. User’s Obligations

2.1. By accessing, browsing or using any of Sammmm’s Products and/or Platform, you shall be considered a ‘User’ for the purpose of these Terms. You are responsible for all your activities in connection with the use of the Platform and Products.

2.2. By using any of Sammmm’s Products and/or Platform, the User agrees –

2.2.1. To provide true, accurate, current and complete information about the User as prompted by the Platform;

2.2.2. To abide by all applicable laws and regulations when using the Platform and/or the Products and to not use the Platform and/or the Products for any illegal purpose;

2.2.3. Not to transmit through the Platform any unlawful, unsolicited, abusive, threatening, obscene or otherwise objectionable material of any kind, or any material that violates the law or rights of a third party, including but not limited to the intellectual property rights of that party;

2.2.4. The User represents and warrants that they are at least 18 years of age. In cases, where a minor below the age of 18 years of age, wants to use the Platform and/or Products, they shall duly register themselves through their parent/guardian and such a parent/guardian hereby agrees to accordingly register and supervise usage by, and be responsible for the action of any such minors. The parent/ guardian shall enter into this agreement on behalf of such minor and bind themselves in accordance with all terms and conditions herein;

2.2.5. Not access or use the Platform and/or Products in any manner that could damage, disable, overburden or impair any of the Platform’s servers or networks connected to any of the servers on which the Platform and/or Products is hosted;

2.2.6. Not to commit any actor provide any information that amounts to the infringement of intellectual property or making available any material that infringes any intellectual property rights or other proprietary rights of Sammmm and/or any third party;

2.2.7. Not do any act either directly or indirectly which may bring Sammmm into public disrepute, or offend any community or public morals;

2.2.8. Not hack, attempt to hack, copy, sell, resell, reproduce, publish, modify, transfer, modify, adapt, merge, retransmit, distribute, translate, decompile, disassemble, reverse engineer, commercially exploit or create derivative works of Platform and Products;

2.2.9. Not remove, disable, modify, add to or tamper with any program code or data, copyright, trademark or other proprietary notices and legends contained on or in the Platform and/ or Services;

2.2.10. Not create a software which mimics any data or functionality in the Platform and/or Services.

2.2.11. Not use or deal in the Services except as permitted by these Terms;

2.2.12. Not publish any Platform material in any other media for commercial purposes without our prior consent;

2.2.13. Not sell, sublicense, or otherwise commercialize any Platform material;

2.2.14. Not publicly perform and/or show any Platform material without the Company’s prior written consent;

2.2.15. Not use the Platform in any way that is or may be damaging to the Platform;

2.2.16. Not use the Platform in any way that impacts other Users' access to the Platform;

2.2.17. Not use the Platform contrary to applicable laws and regulations, or in any way that may cause harm to the Platform, us, or any person or business entity;

2.2.18. Not engage in any data mining, data harvesting, data extracting, or any other similar activity in relation to the Platform;

2.2.19. Not use the Platform to engage in any advertising or marketing;

2.2.20. Not use the Services to provide, or incorporate the Services into, any product or service provided to a third party (this does not prevent you from fairly and honestly providing links to the website, or showing either to other people);

2.2.21. Not circumvent, disable, or otherwise interfere with security-related features of the Services or features that prevent or restrict use or copying of any content, or that enforce limitations on the use of the Services.

3. How to avail the Services?
Services. We grant you a personal, limited, revocable, non-exclusive and non-transferable license to access the Platform and use the Services only as expressly permitted in these terms. You shall not access the Platform(s) and/or use the Services for any illegal purpose or in any manner inconsistent with the terms of this Agreement.
The Company reserves the right to suspend or disallow any User’s access to the Platform, or discontinue the Services, for any reason whatsoever, at any time without notice, and without incurring any liability thereof. 

You may be required to install certain upgrades or updates to the Platform in use, in order to continue to access the Platform and/or use the Services, or portions thereof (including upgrades or updates designed to correct issues with the Services). Any updates or upgrades provided to you by us under the Terms shall be considered part of the Services. 

Account. You must create an account and register yourself as a User in order to use the Services offered on the Platform. We will use require your personal information, including but not limited to your name, age, address, email ID, phone number and details related to your health and skin. The use of all such personal information you provide to us (including during the registration process) is governed by our privacy policy. 

Account Security. You must keep your password confidential and you are solely responsible for maintaining the confidentiality and security of your account, all changes and updates submitted through your account, and all activities that occur in connection with your account. In case the password is lost/stolen/misplaced/hacked/no longer in your control, you shall promptly inform us. We will upon receipt of such information block the relevant account.

In creating an account, you represent to us that all information provided to us in such process is true, accurate and correct, and that you will update your information as and when necessary, in order to keep it accurate. The Company will not be liable for any information provided to the Company by the User.

You shall not 
(a) impersonate someone else, create or use an account for anyone other than yourself,
(b) provide an email address other than your own,
(c) create multiple accounts, or
(d) provide or use false or misleading information. 

You are also responsible for all activities that occur in your account. You agree to notify us immediately of any unauthorized use of your account in order to enable us to take necessary corrective action. You also agree that you will not allow any third party to use your account for any purpose and that you will be liable for such unauthorized access.

By creating an account, you agree to receive certain communications in connection with the Platform and/or Services.

Generation of Skin Analysis and Progress Reports. We will enable you to use the tool called [ [Skin Analyser]] (“Tool”) for generation of skin analysis and progress reports. The tool uses our image processing algorithms to analyse the picture uploaded by you on the Platform to determine your skin concerns, and suggest skin care Products accordingly. It is recommended that you comply with all the Software and Hardware Requirements (defined below) for taking a picture of your face and uploading the same on the Platform in order to get accurate results.

The results generated by the Tool, or the observations and suggestions in the reports are not medically accurate, or intended to be a substitute for or supplemental to medical analysis carried out by licensed medical professionals in health care facilities and laboratories. The reports are intended to be used to monitor wellness through automated visual means, which may or may not reflect the actual health of your skin or identify any allergies, symptoms, or deficiencies. For thorough and medically accurate skin analysis, it is recommended that you consult a licensed medical professional or a dermatologist.

4. Use of Products 
By using our Platform and/ or Services, you acknowledge and confirm that you have full legal capacity and authority to agree and bind yourself to the terms under this Agreement, and have agreed to the terms under this Agreement, or, if you are a minor, your parent or legal guardian has agreed to the terms under this Agreement for and on your behalf. 

If Sammmm has previously prohibited you from accessing or using the Platform and/or the Services, you are not permitted to access or use the same. Sammmm will not be liable for any unauthorised use and/or access of the Platform and/or Services. Please do not use this Platform and/or the Services if you disagree with these terms. 

Our Platform, including all content thereon and Content, is the sole property of the Company and is copyrighted and protected under applicable laws. You are hereby requested to: (a) comply with all copyright laws in your use of this Platform; (b) prevent any unauthorized use or infringement of any content or Company Technology; and (c) abide by the rules of services described in the section “User’s Obligations”.

The Products available on the Platform, and the samples, if any, that we may provide you, are for your personal use only. The products, or samples thereof, which you may receive from us, shall not be sold or resold for any/commercial reasons. In case any products purchased / received / availed causes side effects or does not suit the user of the Product, and/or causes any skin reaction, including itching, irritation, please stop using the Product and seek medical advice immediately. Sammmm is in no manner responsible for any side-effects, reactions, harm caused by use of the Products. It is advised that You should consult a specialist before the use of any of the Products.

If you are on any medication which can affect the skin, if you suffer from any skin related disorder, or if you have a condition which may affect the skin, then check with your doctor first before application of any product. Before every use, TEST THE SKIN REACTION OF THE USER OF THE PRODUCT by applying the Product to a small part of the area you wish to use the Product over, preferably on the inside of your wrist, following the directions for use. If after 24 HOURS there is no adverse reaction, you can continue to use the Product. However, if you experience any kind of discomfort during use, then remove the product immediately and rinse thoroughly with cold water. If a burning sensation persists, please seek medical advice. 

5. Content Posting
By posting, storing, or transmitting any Content on the Platform and or our social media handles, you hereby grant Sammmm, a perpetual, worldwide, non-exclusive, royalty-free, assignable, right and license to use, store, reproduce, copy, display, perform, create derivative works from, exploit, edit, distribute, have distributed, transmit and assign such content in any form, in all media now known or hereinafter created, anywhere in the world, subject to Sammmm’s privacy policy. You agree and acknowledge that under no circumstances will Sammmm be liable for any user generated content, including without limitation, for any errors or omissions in such content or for any loss or damage of any kind incurred by the User because of the use of any such user generated content transmitted, uploaded, posted, e-mailed or otherwise made available via the Platform. hereby waive all rights to any claims against Sammmm for any alleged or actual infringements of any proprietary rights, rights of privacy and publicity, moral rights, and rights of attribution in connection with such user generated content.

6. User Data
You agree that the nature of the Services may require us to collect personally identifiable information (including User Data (as defined below)) in order to provide the full functionality of the Services, and you consent to such collection, use, and disclosure of such information as set forth further in our Privacy Policy, and you represent and warrant having all the relevant permissions and consents for granting such consent. Further, the Services are offered only for your use, and not for the use or benefit of any third party. 

In these Terms, “User Data” shall mean any personal data, including but not limited to, information, audio, video, text, images, or other material you choose to add, create, upload, submit, distribute, or post on this Platform, whether publicly posted or privately transmitted.

You represent that all User Data provided by you is accurate, complete, up-to-date, and in compliance with any and all applicable laws, rules, and regulations. User Data must be your own and must not be invading any third-party's rights (including any proprietary and intellectual property rights). We reserve the right to remove any User Data from this Platform at any time without notice and without incurring any liability thereof.

7. Security
You are prohibited from violating or attempting to violate the security of the Platform, including, without limitation:

1. accessing any data or logging onto a server in an unauthorised manner; 

2. attempting to or committing a breach of a secured system or network, including interfering with any other user’s account, system, by “flooding”, “spamming” etc.

3. sending unsolicited email, including promotions and/or advertising of products or services; 

4. forging any header or any part of the header information in any email or newsgroup posting; or

5. threatening the unity, integrity, defence, security or sovereignty of India, public order or causes incitement to the commission of any cognizable offence or prevents investigation of any offence.

8. Sammmm’s Intellectual Property Rights

8.1. “Content” means any and all information and data, which may include but not be limited to text, software, voice, graphics, photos, images, designs, sounds, music, videos, logos, any other copyrightable materials, interactive features (if any) and such other materials created by Sammmm and made available on the Platform.

8.2. All Content or other material available on the Platform or through the Products, are the property of Sammmm and/or its affiliates or licensors, and are protected by copyright, patent and/or other intellectual property rights under Indian and foreign laws. 

9. Disclaimer

9.1. The Platform, Products, and any information or Content are provided on an “as is” and “as available” basis with all faults. Sammmm makes no representations, warranties and hereby disclaims any and all representations and warranties (whether express or implied) including but not limited to in relation to in respect of quality, suitability, accuracy, completeness, rationality, reliability timeliness, performance, safety, merchantability, fitness for a particular purpose. Without limiting the foregoing, Sammmm does not guarantee the availability or continuity of the Platform and/or Products, any discounts or offers, or any part thereof and Sammmm or any of its affiliates will not be responsible to you in relation to the Platform and/or Products, for any reason whatsoever including in relation to the unavailability of the Platform and/or Products or your inability to avail the Platform and/or Products.

9.2. Sammmm does not accept any liability for injury or loss (including consequential loss) or expertise of any nature arising directly or indirectly from the application of, use of, or reliance of any information derived from the Platform.

9.3. The product images and measurements may be slightly different from the actual product.  

9.4. The Platform and/or Products may contain errors or inaccuracies and may not be complete or current. Sammmm, therefore, reserves the right to correct any errors, inaccuracies or omissions (including after an order has been submitted) and to change or update information at any time without prior notice.

9.5. We may display links to web sites that are owned or operated by third parties on our Platform and also collaborate with any third-party brands for events and campaigns. Please understand that these websites and products that are sold, owned, distributed, controlled utilised during such collaborations are independent from Sammmm, and Sammmm has no control over the content on that website or these third-party products, even if Sammmm provides information or Products to the owner of that website. Sammmm is not making any representations about, endorsing, or accepting any responsibility for the content or the use of such website or the third-party products utilised as a part of any collaboration. Further, we are not responsible or liable for any damage or loss related to the use of any third-party website or third-party products. You should always read the terms and conditions and the privacy policy of a third-party website before accessing or using it.

9.6. Without limiting the generality of the foregoing, Sammmm makes no warranty:

1. 1. that the information provided on this Platform is accurate, reliable, complete, or timely;
   2. that the links to third-party websites are to information that is accurate, reliable, complete, or timely;
   3. no advice or information, whether oral or written, obtained by you from this Platform will create any warranty not expressly stated herein;
   4. as to the results that may be obtained from the use of the Products or that defects in the Products will be corrected; and
   5. regarding any Products purchased or obtained through the Platform.

10. Customer Service Facility
Sammmm has a customer service facility to help you with Platform related queries. This facility is subject to the following conditions:

1. We may suspend the customer service facility at any time without notice.

2. We are not responsible for any delay caused in replying to the queries via chatting with any customer service representative.

3. We may record any telephonic conversations with you, and/or store all your communication through chat for future reference, and the user of such service will not have the right to access such information at any future date.

4. While chatting you shall not communicate any unlawful, threatening, abusive or obscene information or engage into any form of solicitation.

 

11. Product Purchase, Pricing & Availability, Delivery, Tracking and Return Policy

Product Suggestion.
As a part of our Services, we may suggest certain products to you basis the skin analysis and progress reports generated by us. Any recommendation made to you as a part of the Services and during the course of your use of the Platform is purely for informational purposes and for your convenience, and such suggestions do not amount to endorsement of the suggested/recommended products by the Company or any of its representatives or affiliates.
You are solely responsible for reviewing and assessing the suitability of the suggested/recommended products for your individual skin needs and consulting with a qualified healthcare professional, if necessary.

Product Purchase:
As a part of our Services, you may order the Products listed for sale on the Platform. The Products listed for sale on the Platform may or may not be manufactured and/or promoted by us, and Users are advised to use their reasonable discretion and diligence while making purchases. 

• Product Description and Pricing Information. The Company attempts to be as accurate as possible in the description of the Product on the Platform and list the correct pricing information. However, the Company does not warrant that the Product description, colour, information or other content related to the Products on the Platform are accurate, complete, reliable, current or error-free. The Platform may contain typographical errors or inaccuracies and may not be complete or current. The Product pictures are indicative and may not match the actual Product.
  The Company reserves the right to correct, change or update information, errors, inaccuracies or omissions related to Product description and pricing at any time (including after an order has been submitted) without prior notice. Please note that such errors, inaccuracies or omissions may also relate to availability of the Products.

• Order Acceptance. Your order is an offer to purchase Products from the Company. Once we receive an order, we may, subject to availability of the Product for delivery generate an order token at the time of placing an order. After you receive an order token, your order will be shortlisted, and will be confirmed as and when the Product(s) is available for delivery to your address. Subject to such confirmation, we may either generate a tax invoice or cancel your order and refund payments received. Orders are subject to acceptance by the Company, and the Company may, at its discretion, decline to accept or cancel any order for any reason, without incurring any liability thereof.

• Pricing and Payment. The Product prices listed on the Platform are inclusive of applicable taxes. However, depending on the Company’s shipping policy, shipping charges may be added at the time of payment on the checkout page. You are responsible for paying all such additional charges as applicable. The prices and availability of the Products, offers and services provided or offered on the Platform are subject to change without prior notice and at the sole discretion of Sammmm. Prices may vary from those offered on the Website and offers in offline stores and online on other websites and portals. Payments for the Products available on the Platform may be made through the following methods: credit cards, debit cards, net banking, wallets, UPI, QR code, Cash on Delivery (COD), or through Equated Monthly Installments (EMIs). The Platform reserves the right to modify or add payment methods at its discretion.

Delivery:
Delivery usually takes 7 to 15 business days from the date of order placement. Upon placement of the order, the estimated shipping and delivery timelines shall be available on order details page. In the event, Sammmm is unable to deliver the Product within the estimated delivery date due to any reason, you will be notified by an e-mail the reason for such delay. You agree that Sammmm shall not be liable to pay for any damage or loss either direct or indirect owing to such cancellation of the order or delay in delivery.

Tracking Facility:
Upon dispatch of the Product, you will receive an email with the details of the tracking number and the courier company. 

Returns and Refunds:
We carefully inspect the Products before shipping your order to ensure there is no damage. However, if you notice any damage to your purchase upon delivery, please contact us at customercare@sammmm.com within 2 days of delivery. Kindly send an email along with detailed pictures and a note describing the damage. We will assess the situation and determine whether a refund is applicable, and if so, promptly arrange for a replacement of the Products.

If you are dissatisfied with the Product for any reason (including change of mind), you may return the Product, if unused and in its original, undamaged packaging within 7 days of purchase, for a refund of the Product value less any discounts and offers (as applicable and availed at the time of making the purchase). Please note that if we find that the Product is lost or damages during shipping or has not been returned to us in fully resalable condition, we reserve the right to decline a refund on the item or deduct up to 30% of the original selling price from the refund amount, at our discretion. We will not accept returns on sale and clearance items, and on items damaged through normal wear and tear.

To return or exchange, simply email us customercare@sammmm.com and notify that you will return the item and enclose the original packing slip (mark the item you are returning) in the parcel. In replacement of your return item, you can buy any other product of the equivalent or more from the Platform. Please note that delivery charges will not be refunded for a change of mind and the return delivery is to be covered at your own cost. For an exchange, we will not cover the cost of shipping of new item.

12. Customer Solicitation
By accessing the Platform or placing an order or sending any information, you are communicating with us electronically and you agree to receive communications (including transactional, promotional and/or commercial messages) from us periodically and as and when required. You have the right to withdraw your consent either by using any opt out/unsubscribe link found in any email solicitation received, by sending us an email on customercare@sammmm.com or by way of a written removal request to 525 Laxmi Plaza, Andheri West Mumbai 53 (postal address). 

13. Indemnity

13.1. You agree to indemnify and hold Sammmm and its affiliates, its group companies, their employees, officers, directors or any other person harmless from any and all claims, liabilities, damages, losses and expenses, including reasonable attorneys' fees and costs, relating to or arising out of
(a) your use or attempted use of the Platform or Products in violation of the terms of this Agreement;
(b) your violation of any law or rights of any third party; or
(c) information or Content that you or others post or otherwise make available on the Platform or through any Products, including without limitation any claim of infringement or misappropriation of intellectual property or other proprietary rights
(d) Inaccurate information or User Data provided by you that is not complete, up-to-date, and/or not in compliance with any and all applicable laws, rules, and regulations.

13.2. Sammmm is in no manner whatsoever responsible and/or shall not be held liable in any manner whatsoever, in law, equity, or otherwise, with respect to the Platform content and Products and/or for any breach of this Agreement. Sammmm will not be liable for any losses resulting from (a) the use or the inability to use the Platform content or Products or allied services, access delays or access interruptions to the Platform including any data non-delivery, loss, theft, mis-delivery, corruption, destruction or other modification; (b) the cost of procuring substitute the Products or content; (c) any Products purchased or obtained or transactions entered into through the Platform; or (d) any lost profits; (e) any health hazard, injury, death, mental trauma caused to You in any manner whatsoever or for any reason whatsoever in connection with the Platform and/or the Products.

13.3. FURTHER, TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER WE NOR OUR SUBSIDIARIES, AFFILIATES, PARTNERS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING LOST PROFITS) RELATED TO THE PLATFORM OR YOUR USE OF ANY PRODUCTS, THEREOF REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND IN NO EVENT SHALL OUR MAXIMUM AGGREGATE LIABILITY EXCEED THE ENTIRE COST OF THE PRODUCT.

14. Termination

14.1. You agree that Sammmm, in its sole discretion, may deactivate your User account or otherwise terminate your use of the Platform or enrolment to a Products with or without reason, including, without limitation, if Sammmm believes that you have (a) breached the terms of this Agreement; or (b) infringed the intellectual property rights of a third party or (c) posted, uploaded or transmitted unauthorised User Content on the Platform. You agree that any deactivation or termination of your access to the Platform or Products may be affected without prior notice to you and that Sammmm shall not be liable to you nor any third party for any termination of your User account or enrolment into a Products. You also acknowledge that Sammmm may retain and store your information on Sammmm’s systems notwithstanding any termination of your User account or enrolment into the Products.

15. Miscellaneous Provisions

15.1. Sammmm may freely transfer or assign any portion of its rights or delegate its obligations under the terms of this Agreement. You shall not transfer or assign, by operation of law or otherwise, any portion of your rights or delegate your obligations under the terms of this Agreement without the prior written consent of Sammmm.

15.2. If any provision of this Agreement is found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from the other provisions herein and shall not affect the validity and enforceability of any remaining provisions. 

15.3. Sammmm shall have no liability under the terms of this Agreement, to the extent arising from any failure of Sammmm to perform any of its obligations under the terms of this Agreement due to any fire, flood, earthquakes, other acts of God, war, civil unrest, terrorism, internet failures, governmental act or court order, national emergency, strikes or labour disputes or any other event not within Sammmm's reasonable control. Notwithstanding the foregoing, Sammmm may at any time, in its sole discretion and without advance notice to you, cease operation of the Platform and/or any and all Products.

15.4. Any failure by Sammmm to enforce or exercise any provision of the Agreement, or any related right, shall not constitute a waiver by Sammmm of that provision or right.

15.5. You acknowledge that your participation and/or interaction with the Platform and/or Products, does not make you an employee or agency or partnership or joint venture or franchise of Sammmm.

15.6. This Agreement shall be construed in accordance with the applicable laws of India. Any proceedings arising hereof shall be subject to the exclusive jurisdiction of the Courts at Mumbai.

15.7. Notwithstanding the conflict of laws principle, in case of any dispute or other matter arising out of the Agreement (including in relation to interpretation or otherwise) shall be referred to a sole arbitrator appointed by Sammmm and shall be governed by the Arbitration and Conciliation Act, 1996, amended from time to time. The venue for arbitration shall be Mumbai, in English language. All the costs, charges and expenses in connection to the Arbitration shall be solely borne by the party who has raised the dispute.
